This agreement shall be governed by, and construed in accordance with, the laws of the State of New Jersey applicable to agreements made and to be performed in New Jersey. Any legal action or proceeding between you and MH Photography LLC concerning this agreement shall be commenced exclusively in a federal or state court of competent jurisdiction in New Jersey.

No waiver by either party of any breach or default under this agreement shall be deemed to be a waiver of any other breach or default. You may not assign this Agreement without MH Photography LLC’s prior written consent. This agreement will be binding upon and inure to the benefits of the heirs, successors, and permitted assigns of the parties.

This agreement and any applicable policies and procedures of MH Photography LLC constitute the entire agreement of the parties with respect to its subject matter and supersede all previous written or oral agreements between the parties.
